By accessing and using the alerting platform operated by TickStock LLC ('TickStock', 'we', 'us', or 'our') (the 'Service'), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. We may update these terms from time to time, and your continued use constitutes acceptance of any changes.

Eligibility

You must be at least 18 years old, and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Description of Service

TickStock provides price and event alerts for stocks, ETFs, and cryptocurrencies, delivered via email, push, and SMS notifications depending on your subscription tier. SMS notifications are available only for phone numbers in the United States and Canada. Our Service allows you to:

• Create and manage price and event alerts for stocks, ETFs, and cryptocurrencies (available assets vary by subscription tier)
• Receive notifications via email, push, or SMS notifications when your alert conditions are met (SMS is available for US and Canada numbers only)
• Access market data, analysis, and AI-powered insights
• Build and customize watchlists, view company information and news

SMS Messaging Terms

SMS notifications are available only for phone numbers in the United States and Canada. We do not send SMS messages to phone numbers outside these countries.

By enabling SMS notifications, you consent to receive text messages from TickStock. You understand that:

• Message frequency depends on your alert settings and market activity. Alerts are grouped together to minimize the number of messages you receive.
• You can opt out at any time by replying "STOP". After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
• If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at support@tickstock.app.
• Carriers are not liable for delayed or undelivered messages
• As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Our SMS communications comply with Twilio's Messaging Policy and applicable regulations including the Telephone Consumer Protection Act (TCPA).

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Perform actions with the intention of overwhelming our systems
• Use automated systems to access the Service without permission
• Redistribute or resell our data or services

Subscription and Billing

Our Service offers both free and paid subscription tiers. For paid subscriptions:

• Billing is processed through Stripe
• Paid plans include a 30-day free trial. You will not be charged during the trial period, and you may cancel at any time before the trial ends to avoid being charged.
• Subscriptions renew automatically unless canceled
• You may upgrade, downgrade, or cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that time
• We offer a 30-day money-back guarantee on your first paid subscription. If you are not satisfied, email support@tickstock.app within 30 days of your first charge to request a full refund. The guarantee applies once per customer and covers your initial subscription only — it does not apply to renewals, plan upgrades or downgrades, add-ons, or subsequent subscriptions after cancellation. Refunds may be denied if your account has been suspended or terminated for violation of these Terms, if you have previously received a refund from us, if a chargeback has been initiated with your payment provider, or in cases of suspected abuse. Outside of this guarantee, and except where required by law, fees are non-refundable for partial billing periods or unused services.

Data Accuracy and Disclaimers

While we strive to provide accurate and timely information, we cannot guarantee:

• 100% accuracy of stock prices or market data
• Real-time pricing data
• Delivery of all alerts due to technical issues
• Uninterrupted service availability
• Compatibility with all devices and carriers

You acknowledge that market data may be delayed and should not be relied upon for time-sensitive trading decisions. In particular, stock and ETF intraday data provided through the Service is delayed by at least 15 minutes. We encourage you to verify any data against a company's official SEC filings and other authoritative sources before making decisions.

Intellectual Property

TickStock and its content, including but not limited to text, graphics, logos, and software, are protected by intellectual property laws. You may not republish our content in full, or reproduce, distribute, or create derivative works from it, without our written permission. You may quote limited snippets of our content provided you do not modify them and you clearly attribute them to TickStock.

Third-Party Content and Links

The Service may display content from third parties, such as company news, and may contain links to other websites. We do not control, endorse, or assume responsibility for any third-party content, products, or services, and we are not liable for any loss or damage arising from your use of them. Your use of third-party websites is governed by their own terms and policies.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKSTOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EXCEPT IN CASES OF GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless TickStock LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately, and we may delete your account and data within 30 days.

Governing Law and Disputes

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles. You and TickStock agree to attempt to resolve any disputes through good faith negotiation first. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the courts of South Carolina or, by mutual agreement, through binding arbitration in accordance with the rules of the American Arbitration Association conducted in South Carolina.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing to be effective.

Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or failures of networks, hosting providers, or other third-party services.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TickStock regarding the Service and supersede any prior agreements or understandings.

At TickStock LLC ('TickStock', 'we', 'us', or 'our'), we respect your privacy and are committed to protecting your personal information. This Privacy Policy explains how we collect, use, and safeguard your information when you use our alerting platform for stocks, ETFs, and cryptocurrencies. Our service provides price and event notifications and does not constitute financial advice. Your use of the Service is also governed by our Terms of Service.

Information We Collect

We collect information that you provide directly to us, such as when you create an account, subscribe to our service, or create alerts. This may include:

• Mobile phone number (for SMS alerts, if enabled)
• Push subscription details (for push notifications, if enabled): a browser-provided endpoint URL, cryptographic keys used to encrypt push payloads, and a short device label (for example, "iPad" or "Mac") so you can identify and manage each registration. These are stored per device you enable push on.
• Alert preferences and the stocks, ETFs, or cryptocurrencies you choose to monitor
• Billing information processed by our payment provider (Stripe). We do not store payment card details on our systems.

We also automatically collect certain technical information when you use our service, including IP address, browser type, device information, and use cookies and similar technologies as described in our Cookies section below.

Third-Party Service Providers

We rely on trusted third parties to operate our platform. These providers process only the information needed to perform their services on our behalf:

• Cloudflare, for hosting and content delivery
• Supabase, for authentication and database services
• Stripe, for subscription payment processing
• Resend, for transactional and notification email delivery
• Twilio, for SMS message delivery
• Pusher, for real-time in-app updates such as live prices and notification counts
• Plausible Analytics, for privacy-focused, cookieless usage analytics
• HelpScout, which powers our in-app support widget. When you open support while signed in, we share your email and account identifier so we can assist you

Push Notifications and Opt-Out

If you enable push notifications, you consent to receive notifications about your price and event alerts on the browsers and devices you have registered. When you enable push on a device, your browser provides us with an endpoint URL and encryption keys which we use only to deliver notifications you've requested. We do not use these endpoints for advertising or share them with third parties beyond the browser vendor's push service required for delivery (e.g., Apple, Google, Mozilla, Microsoft).

You can opt out anytime by:

• Toggling push off, or removing individual devices, in the Push Notifications section of your Preferences page
• Revoking notification permission in your browser or OS settings

On iOS and iPadOS, push is only available when you install TickStock to your Home Screen using Safari's "Add to Home Screen" option. Uninstalling the app also removes its push subscription. Message frequency depends on your alert settings and market activity.

Data Security

We implement industry-standard security measures including encryption, secure data storage, and access controls to protect your information from unauthorized access, alteration, or disclosure.

International Data Transfers

Your information may be processed and stored in the United States. If you're located outside the US, we ensure appropriate safeguards are in place for international data transfers.

Age Restrictions

Our service is not intended for individuals under 18. We do not knowingly collect personal information from anyone under 18.
